XFONE USA Acquires Web Hosting Provider EBI Comm, Inc.
Acquisition expected to contribute approximately $300,000 in revenue to XFONE in 2006

XFONE USA, a subsidiary of XFONE, Inc. (XFN), has announced that it has acquired the assets of EBI Comm, Inc., an Internet Service Provider whose services for commercial and residential customers in northern Mississippi include web hosting.

EBI Comm adds a customer base of approximately 1,500 Internet users to XFONE USA’s books (mostly from the Mississippi area) and is expected to contribute approximately $300,000 in revenue to XFONE in 2006. Alongside web hosting the company’s services include dial-up, DSL and T1 dedicated access. "Throughout the U.S. Gulf region, XFONE USA is widely recognized for its proven commitment to delivering world class service to its customers," stated Gene Imes, Founder and President of EBI Comm. "EBI Comm is pleased to be able to transition its customers over to this industry leader."

XFONE USA will pay EBI Comm 50% of monthly revenue in the first 12 months after the asset purchase. Assets will include customer base, trademarks, intellectual property, fixed assets and all account receivables. "We are delighted to welcome EBI Comm's customers to XFONE USA's growing family and look forward to providing them with a comprehensive range of voice, video and data communications products and services," added XFONE USA President Wade Spooner.
