Rainmaker Entertainment Announces Results for the Third Quarter of 2012 and Senior Management Appointments

VANCOUVER, BRITISH COLUMBIA -- (Marketwire) -- 11/14/12 -- Rainmaker Entertainment Inc. (TSX:RNK) announced today its results for the three and nine months ended September 30, 2012. Rainmaker also announces the appointment of Mr. Craig Graham as Chief Executive Officer and Executive Chairman, effective November 15, 2012, Mr. Michael Hefferon as President and Executive Producer, effective November 15, 2012, and Mr. Shawn Turkington as Chief Financial Officer, effective November 20, 2012. The Board also appointed Ms. Delna Bhesania to the Company's board of directors.

The Company reported a loss of $1,145,898 and $3,047,801 for the three and nine months ended September 30, 2012, respectively. This compares with earnings of $426,972 and $1,193,979 for the three and nine months ended September 30, 2011.

Tim McElvaine, Chairman of the Board, commented, "It was a challenging quarter for Rainmaker. The proposed sale of the animation studio to Xing Xing Digital Corporation was not completed in September as expected. The Rainmaker board of directors and management are now focused on expanding its existing operations. I am particularly delighted that the board and management teams going forward will be bolstered by the additions of Craig, Michael, Shawn and Delna. Each individual brings unique talents to Rainmaker and, as a group, they serve to strengthen the quality and depth of our leadership team."

Mr. McElvaine added "Despite the challenges and uncertainty it was also an exciting quarter for Rainmaker as we approach the completion of production on the 3D animated family comedy feature film Escape from Planet Earth. The film is planned to be distributed by The Weinstein Company in February 2013."

Management Appointments

Mr. Graham, the incoming Chief Executive Officer and Executive Chairman, is a current director of the Company with vast business experience at the senior management level in an array of industries. Mr. Hefferon, the incoming President and Executive Producer, has enjoyed an extensive career in the feature film and television industries. Mr. Turkington, the incoming Chief Financial Officer, is a Chartered Accountant and has extensive experience working with public companies. He will be replacing Mr. Darren Battersby effective November 20, 2012, concurrent with Mr. Battersby's resignation date. The Board would like to thank Mr. Battersby for his tenure with the Company and wish him the best of luck on his future endeavors.

Ms. Bhesania, the newly appointed director, is a principal of Bardel Entertainment Inc., a Vancouver-based fully integrated entertainment company.

Earnings decreased $1,572,870 from $426,972 in the third quarter of 2011 to a loss of $1,145,898 in 2012. The decrease is primarily due to a 60% decrease in revenue with only a 54% decrease in operating costs. In addition, an impairment of $306,967 was recognized on investment in film and television properties during the third quarter whereas no impairment or provision was recognized in the third quarter of 2011. Similarly, in the first three quarters of 2012 earnings decreased $4,241,780 from $1,193,979 in the first three quarters of 2011 to a loss of $3,047,801 in 2012. The decrease is primarily due to a 20% decrease in revenue with only a 3% decrease in operating costs.
